Non-Disclosure Agreement

This Non-Disclosure Agreement (hereinafter “Agreement”) is entered into by and between Wuxi Gloritec Technologies Co., Ltd. (hereinafter “GLORITEC” or “Recipient”) and its customer or partner (hereinafter “Discloser”). During business cooperation, both parties may have access to each other’s trade secrets and confidential information. This Agreement is made to protect the rights and interests of both parties.

1. Definition of Confidential Information

“Confidential Information” as used in this Agreement includes but is not limited to:

• Technical information — Technical solutions, source code, algorithms, circuit designs, software architecture, system configurations, etc.
• Business information — Customer lists, supplier information, pricing strategies, contract terms, financial data, etc.
• Operational information — Production processes, formulas, business workflows, management systems, personnel information, etc.
• Other information — Other information agreed by both parties as confidential, or information that should be considered confidential under business practice

2. Confidentiality Obligations

Both parties agree to:

• Strict confidentiality — Take reasonable measures to protect confidential information and prevent disclosure
• Limited use — Use confidential information only for the purpose of cooperation, not for other purposes
• Restricted disclosure — Not disclose confidential information to third parties, except as required by law
• Employee management — Ensure employees with access to confidential information sign confidentiality agreements

3. Exclusions

The following information is not considered confidential information:

• Information already public at the time of disclosure
• Information that becomes public after disclosure through no fault of the Recipient
• Information the Recipient already lawfully possessed before disclosure
• Information lawfully obtained from a third party with right to disclose
• Information independently developed by the Recipient

4. Confidentiality Period

• Agreement validity — Effective from the date of signing until 3 years after cooperation ends
• Trade secrets — For information constituting trade secrets, confidentiality obligations continue until the information becomes public
• Legal requirements — If laws require longer periods, legal requirements prevail

5. Return and Destruction of Information

• Upon cooperation end or Discloser’s request, Recipient shall return or destroy confidential information carriers
• Provide certificate of destruction upon Discloser’s request
• One copy may be retained for legal compliance purposes

6. Liability for Breach

• Breaching party shall compensate the non-breaching party for direct losses caused by the breach
• If losses are difficult to calculate, compensation shall be based on benefits obtained by the breaching party
• Non-breaching party has the right to claim reasonable legal expenses (attorney fees, litigation costs, etc.)

7. Governing Law and Dispute Resolution

• This Agreement is governed by laws of the People’s Republic of China
• Disputes shall be submitted to the court with jurisdiction where the agreement was signed

8. Other Terms

• This Agreement is an attachment to contracts or cooperation between parties and does not affect the validity of the main contract
• Matters not covered in this Agreement may be negotiated separately in supplementary agreements
• This Agreement is in duplicate, each party holding one copy, both having equal legal effect
