Terms of Service

Welcome to Wuxi Gloritec Technologies Co., Ltd. (hereinafter “GLORITEC” or “we”) products and services. These Terms of Service (hereinafter “Terms”) constitute a legal agreement between you and us. By using our services, you agree to these Terms.

1. Scope of Services

We provide the following services:

• IoT Cloud Platform — Device monitoring, data collection, alert notifications
• Smart Manufacturing Consulting — Current state diagnosis, roadmap planning, vendor selection advice
• Custom Software Development — Requirements gathering, prototype design, development testing, deployment delivery
• Automation System Integration — Equipment connection, data collection, visualization dashboards, system integration

2. Service Process

• Requirements Confirmation — Clarify requirements via WeChat, phone, or on-site communication
• Proposal and Quote — Provide written proposal and quotation
• Contract Signing — Confirm service scope, payment terms, delivery timeline
• Service Delivery — Execute according to contract
• Acceptance Confirmation — Customer confirms service results

3. Payment Terms

Custom Development / System Integration:

• According to Purchase Order and Purchasing Contract

Consulting Services:

• One-time payment or phased payment, as specified in contract

Subscription Services:

• Billed monthly/annually, paid in advance

4. Customer Responsibilities

• Provide accurate requirements information and contact details
• Cooperate with on-site research, prototype confirmation, testing acceptance
• Designate a dedicated contact person and respond promptly to communication
• Make payments on time
• Do not use our solutions, code, or documents for purposes beyond the contract

5. Service Warranty

• Custom development and system integration projects include 1-year free warranty
• Warranty covers fixes for code defects
• Does not include requirement changes or issues caused by third parties
• Extended warranty available after initial period at additional cost

6. Intellectual Property

• Custom-developed software — Copyright belongs to customer unless otherwise specified in contract
• Our existing frameworks and components — Copyright belongs to us; customer receives usage license
• Consulting reports and design documents — For internal customer use only; not for resale or publication

7. Confidentiality

• Both parties maintain confidentiality of business secrets obtained during cooperation
• Confidentiality period: 3 years after cooperation ends

8. Disclaimer

• We are not liable for rework caused by inaccurate customer-provided information
• We are not liable for service delays or interruptions due to force majeure (natural disasters, policy changes, etc.)
• We are not liable for indirect or commercial losses

9. Termination

• Either party may terminate early with mutual consent
• One party may terminate with written notice if the other party seriously breaches
• Confidentiality obligations remain in effect after termination

10. Dispute Resolution

• These Terms are governed by laws of the People’s Republic of China
• Disputes shall be submitted to the court with jurisdiction where the agreement was signed
